These Terms of Service (the "Terms") form an agreement between you and TacticSpace Tech ("we", "our", "us") regarding the Niello application and related services (collectively, the "Service"). By tapping "Sign in with Apple", subscribing to Niello Pro, or otherwise accessing or using the Service, you confirm that you have read, understood, and agreed to these Terms, our Privacy Policy, and Apple's Standard EULA. If you do not agree to any part of these Terms, please do not use the Service.

1. Eligibility

You must be at least the minimum age permitted to use this kind of service in your jurisdiction (13 in most regions, 14 or higher in some). If you are under that age, you should use the Service under the supervision of a parent or legal guardian. If you use the Service on behalf of an organization, you must have the authority to do so.

2. Account

The Service authenticates you through Sign in with Apple. You are responsible for keeping your Apple ID credentials secure. Any activity originating from your account is deemed to be your own unless we expressly agree otherwise. If you become aware of unauthorized use of your account, notify us immediately. You may sign out at any time inside the app. You can also permanently delete your account and all of our server-side records at any time from Settings → Delete Account; deletion also revokes Sign in with Apple.

3. The Service and AI Features

The Service includes an AI assistant ("Mochi") powered by third-party artificial intelligence services. Output from Mochi is the result of automated processing and may be inaccurate, outdated, incomplete, biased, or inappropriate. Such output does not constitute medical, legal, financial, psychological, or any other professional advice, and should not form the basis of any important decision.

We do not proactively review the content you submit to Mochi, but we reserve the right to take necessary action when we later become aware of violations of these Terms or applicable law. You are responsible for the content you submit, including ensuring it does not infringe any third party's rights or violate the laws of your jurisdiction.

Regional differences: To comply with the laws and regulations of different jurisdictions (including but not limited to data protection, content-generation regulation, and cross-border data transfer rules), we may use different AI service providers in different regions, and certain AI features may be adjusted, limited, or unavailable in particular regions. We reserve the right to make such adjustments without separate notice.

4. Subscriptions

Niello Pro is an optional auto-renewable subscription offered through the Apple App Store. It unlocks expanded Mochi AI assistance, premium stickers, and early access to new features. Journaling and standard stickers remain free; the free plan includes a limited number of AI uses per month.

"Unlimited" AI and fair use. Any "unlimited" Mochi AI usage under Niello Pro is provided on a fair-use basis for ordinary personal use, and is subject to reasonable measures against automated, bulk, resale, or otherwise abusive use. Because Mochi is powered by third-party AI providers, the AI features depend on the availability, terms, and pricing of those providers and on the laws and regulations applicable in your region. We therefore reserve the right, where reasonably necessary — including in response to changes by our AI providers or to legal, regulatory, or compliance requirements — to apply reasonable rate limits or to adjust, limit, or change the scope of the AI features (including any "unlimited" allowance). Where such a change would materially reduce a core paid benefit, we will act reasonably and, where required by law, provide advance notice and/or an appropriate remedy.

Plans and pricing. Niello Pro is offered on monthly and yearly plans. The exact price, currency, and any introductory free trial are shown on the in-app subscription screen and in the App Store before you confirm your purchase, and may vary by region. We may change subscription pricing from time to time; any change applies only to future billing periods and, where required by law, will be communicated to you in advance.

Free trial. Where a free trial is offered and you are eligible, it automatically converts to a paid, auto-renewing subscription at the end of the trial unless you cancel at least 24 hours before it ends.

Auto-renewal. Your subscription renews automatically for the same period at the then-current price unless you turn off auto-renewal at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal within 24 hours before the period ends.

Billing, cancellation, and refunds are handled by Apple under its standard terms. We do not collect payment directly and do not store your payment credentials. You can manage or cancel your subscription at any time in your Apple ID account settings; cancellation takes effect at the end of the current billing period, and access to Pro continues until then.

5. Your Content

You retain full ownership of all content you create in the Service (including photos, text, stickers, and journal pages, collectively, "Your Content"). To enable the Service to operate, you grant us a non-exclusive, royalty-free, worldwide, revocable, limited license to store, transmit, process, and display Your Content for you during your use of the Service. This license terminates automatically when you delete the corresponding content or close your account.

We will not use Your Content to train any AI model, nor will we sell it or share it with any third party for targeted advertising purposes.

6. Acceptable Use

You may not use the Service to:

  1. Upload, generate, or distribute content that violates the laws of your jurisdiction, including content that infringes intellectual property, privacy, or personality rights;
  2. Engage in any automated, bulk, or scraping access;
  3. Reverse engineer, decompile, modify, or attempt to bypass any technical protection measures;
  4. Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  5. Interfere with, damage, or overload our systems or those of third parties.

If you violate any of the above, we may immediately restrict, suspend, or terminate your access to the Service, and reserve the right to pursue legal remedies.

7. Intellectual Property

All intellectual property rights in the Service and its components (including software, interface design, trademarks, copy, and visual assets) belong to us or our licensors. Except for the limited rights expressly granted in these Terms, you may not copy, modify, distribute, sell, rent, or otherwise exploit any part of the Service without our prior written permission.

8. Disclaimer

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, security, accuracy, timeliness, or freedom from errors.
  • We do not warrant that the Service will be uninterrupted or error-free, or that it will meet your specific needs or be fully compatible with your device.
  • We are not responsible for the availability, policies, or performance of any third-party services (including but not limited to Apple, cloud services, and AI model providers).

9. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable to you or any third party for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or opportunity, or the cost of substitute goods or services, under any theory of liability (contract, tort, or otherwise).

Where applicable law does not permit a full exclusion or limitation of liability, our liability shall be limited to the minimum extent permitted by such law.

10. Indemnification

You agree to defend, indemnify, and hold us and our affiliates harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service, or your infringement of any third party's rights.

11. Governing Law and Disputes

The parties shall first seek to resolve any dispute through good-faith negotiation. Where good-faith negotiation fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be submitted to the competent courts located in the jurisdiction where the Operator (TacticSpace Tech) is established. These Terms are interpreted and enforced under the laws of that jurisdiction, except where overridden by mandatory consumer-protection law in your country of residence.

To the extent permitted by applicable law, both parties waive the right to participate in class or representative actions; all disputes must be resolved on an individual basis. Consumer rights granted by mandatory local law (including statutory rights of consumers in their country of residence) are not affected by this clause.

12. General

  • Changes: We may update these Terms from time to time. Material changes will be communicated through in-app notice or by updating the "Last updated" date above. Your continued use after changes take effect constitutes acceptance.
  • Termination: You may stop using the Service at any time. We may terminate your access if you breach these Terms or if we decide to discontinue the Service. The provisions on intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
  • No waiver: Our failure or delay in enforcing any right does not constitute a waiver of that right.
  • Entire agreement: These Terms together with the Privacy Policy constitute the entire agreement between you and us regarding the Service, superseding any prior oral or written agreements.
  • No assignment: You may not assign these Terms without our prior written consent; we may assign them to an affiliate or successor.
  • Apple EULA precedence: These Terms supplement, and do not replace, the Apple Standard EULA that governs all App Store apps. To the extent any provision of these Terms conflicts with the Apple Standard EULA or other terms Apple requires for App Store distribution, the Apple-required terms prevail for the App Store distribution of the Service.
  • Apple third-party beneficiary: You acknowledge that these Terms are between you and us, not with Apple, and that Apple is not responsible for the Service. However, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
